1. Agreement to Terms

By accessing or using Importify ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

The Service is operated by NUVIO CONSULTING - FZCO, Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai ("Company", "we", "us", or "our").

2. Description of Service

Importify provides a SaaS platform for importing and managing products for Shopify stores with AI-powered content generation and optimization features.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Billing

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis ("Billing Cycle").

At the end of each Billing Cycle, your subscription will automatically renew unless you cancel it or we cancel it. You may cancel your subscription renewal through your account settings.

A valid payment method is required to process the payment for your subscription. You must provide current, complete, and accurate billing information.

5. Free Trial

We may offer a free trial for new users. The free trial period lasts for 7 days unless otherwise specified. At the end of the free trial period, you will be charged the applicable subscription fee unless you cancel before the trial ends.

6. Refund Policy

We offer a 30-day money-back guarantee for all paid subscriptions. If you are not satisfied with the Service, you may request a full refund within 30 days of your initial purchase. Refund requests after 30 days will not be honored.

7. Acceptable Use

You agree not to use the Service:

• For any unlawful purpose or to violate any laws
• To transmit any harmful or malicious code
• To interfere with or disrupt the Service or servers
• To import products that infringe on intellectual property rights
• To import prohibited or illegal products
• To abuse, harass, or harm another person

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of NUVIO CONSULTING - FZCO. The Service is protected by copyright, trademark, and other laws.

You retain all rights to the product data you import through the Service. By using the Service, you grant us a license to process and store your data as necessary to provide the Service.

9. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service and cancel your subscription.

10. Limitation of Liability

In no event shall NUVIO CONSULTING - FZCO, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service.

11. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
